About This Opportunity:
As the Senior Healthcare Contracts Specialist, you'll lead the drafting, negotiation, and management of complex business agreements while serving as a strategic partner to internal stakeholders. You'll provide contracting expertise that supports business objectives, ensures efficient contract execution, and helps identify and mitigate contractual risk throughout the agreement lifecycle.
In this role, you'll collaborate with cross-functional teams to deliver practical, compliant contracting solutions while independently managing commercial contracting matters and escalating issues to in-house Legal counsel as appropriate. You'll apply approved templates, playbooks, and Legal Department guidance to maintain consistency and compliance across agreements. Through sound judgment, exceptional drafting skills, and strong attention to detail, you'll produce high-quality work with minimal supervision while helping the business move forward with confidence
Things You’ll Do Here:
- Independently draft, review, revise, and negotiate complex commercial agreements, including client master services agreements, vendor agreements, HIPAA Business Associate Agreements, statements of work, amendments, renewals, data sharing and use agreements, non-disclosure agreements, and other contracts, by preparing high-quality contract language and redlines using approved templates, standard clauses, and negotiation playbooks.
- Analyze and negotiate non-standard contract provisions within established Legal Department guidance, independently resolving routine negotiations while escalating novel or higher-risk legal, regulatory, or business issues to in-house counsel as appropriate.
- Serve as the primary day-to-day Legal Department contact for assigned contracting matters.
- Collaborate with Sales, Operations, Finance, IT, and Compliance teams and executive leadership to facilitate timely contract review and execution.
- Provide practical recommendations regarding contractual terms, risk allocation, and negotiation strategies while identifying opportunities to improve contracting workflows, standardization, efficiency, and risk management practices.
- Contribute to Legal team’s development and continuous refinement of contract templates, standard clauses, fallback positions, and negotiation playbooks.
- Support and maintain contract lifecycle processes and systems, ensuring contract records are well-organized, complete, accurate, and maintained in accordance with company policies.
- Perform other duties as assigned.
Reasonable accommodation may be made to enable individuals with disabilities to perform essential duties.
What You’ll Bring to the Team:
- Bachelor's degree in Legal Studies, Business Administration, Healthcare Administration, Paralegal Studies, or a related field.
- 7+ years of progressive experience drafting, reviewing, negotiating, and managing complex commercial contracts.
- Extensive experience negotiating contractual terms directly with customers, vendors, business partners, and other counterparties, including the demonstrated ability to independently manage commercial contract negotiations using established templates, playbooks, and contracting standards while exercising sound judgment regarding when to seek attorney guidance.
- Ability to read, interpret, and draft sophisticated legal and business agreements.
- Experience identifying legal, operational, financial, and compliance risks within contractual agreements, recommending practical solutions, and appropriately escalating matters requiring legal review or approval.
- Exceptional written and verbal communication skills, including the ability to explain complex contractual concepts to business stakeholders, communicate clearly and professionally, and draft polished, business-ready contract language requiring minimal revision.
- Strong analytical, problem-solving, organizational, and project management skills.
- Strong understanding of contract law principles, contractual risk allocation, and commercial negotiation practices.
- Ability to manage multiple competing priorities in a fast-paced, high-volume environment with minimal supervision while consistently meeting deadlines.
- Advanced proficiency in Microsoft Word, including redlining, Track Changes, document comparison, formatting, and management of complex legal documents.
- Experience working with contract lifecycle management (CLM) platforms and document management systems.
- Experience negotiating healthcare-related agreements, including payer, provider, vendor, technology, data-sharing, and Business Associate Agreements, within healthcare, insurance, managed care, or related regulated industries.
