About This Opportunity: 

As an Associate Corporate Counsel, you will play a vital role in managing the full contracting life cycle, including drafting, negotiating, reviewing, and researching to mitigate risk and support company objectives. Working under the guidance of a supervising attorney, you will contribute to in-house legal projects and strategic initiatives while also assisting with training to enhance contract compliance and best practices. 

Things You’ll Do Here:  

  • Oversee the preparation, negotiation, and execution of various contracts, including service agreements, data use agreements, non-disclosure agreements (NDAs), vendor agreements, and other corporate legal documents. 
  • Identify and mitigate legal risks associated with contracts and business transactions, ensuring compliance with applicable laws, regulations, and company policies. 
  • Continuously assess and improve contract terms, templates, and processes to align with evolving legal and business needs. 
  • Develop strategies to optimize contract efficiency and reduce potential liabilities. 
  • Conduct legal research on relevant laws, regulations, and industry standards. 
  • Provide practical and strategic legal guidance to internal stakeholders on contract-related issues, corporate governance, compliance matters, and risk mitigation. 
  • Educate and train managers, executives, and other employees on contracting policies, regulatory requirements, and best practices to enhance compliance and minimize legal exposure. 
  • Work closely with business units, finance, procurement, IT, HR, and other departments to ensure legal considerations are incorporated into company operations and decision-making. 
  • Assist in ensuring the organization remains compliant with federal, state, and industry-specific regulations. 
  • Support corporate governance initiatives and assist with policy development. 
  • Support the resolution of contract disputes and claims. Collaborate with external counsel when necessary to handle litigation, regulatory inquiries, or other legal proceedings. 
  • Assist with various in-house legal matters, including employment law issues, intellectual property concerns, data privacy, mergers and acquisitions, and corporate transactions as needed. 
  • Perform other duties as assigned.

What You’ll Bring to the Team: 

  • Juris Doctor (JD) degree from an accredited law school with strong legal drafting and analytical skills. 
  • Active license to practice law in a U.S. state or eligibility for admission within six months of hire. 
  • One (1) or more years of relevant legal experience, preferably in corporate law, contract negotiation, or a related field. 
  • Strong project management skills with the ability to handle multiple priorities independently in a fast-paced environment. 
  • Exceptional attention to detail and organizational skills, with the ability to analyze complex legal issues and provide clear guidance. 
  • Excellent verbal and written communication skills, including the ability to convey legal concepts to non-legal stakeholders. 
  • Proficiency in Microsoft Office Suite (Word, Excel, Outlook, and PowerPoint) and familiarity with contract management systems or legal research tools.

A plus if you have:

  • Healthcare experience (HIPAA/privacy) and experience negotiating contracts with outside counsel. 

 

Where You’ll Work: This is a fully remote position, and we’ll provide all the necessary equipment!  

  • Work Environment: You’ll need a quiet workspace that is free from distractions. 
  • Technology: Reliable internet connection—if you can use streaming services, you’re good to go! 
  • Security: Adherence to company security protocols, including the use of VPNs, secure passwords, and company-approved devices/software. 
  • Location: You must be US based, in a location where you can work effectively and comply with company policies such as HIPAA.
